terms of service

these terms are a binding agreement between you and Clover Lab Solutions (“Clover Lab Solutions”, “we”, “us”), the operator of wupf (“wupf”, the “service”). by creating an account, sending a broadcast, or otherwise using wupf, you agree to these terms. if you are using wupf on behalf of an organization, you confirm you have authority to bind that organization.

1. the service

wupf is a multi-channel broadcast service. an account owner creates groups, invites people, and sends operational notifications that wupf fans out to each subscriber on the channels that subscriber chose — email, telegram, push, whatsapp, sms or voice. wupf routes and delivers your messages; it does not author or endorse their content.

2. accounts & access

wupf is passwordless. owners and staff sign in with one-time email codes; subscribers are reached through signed personal links and channel verification. you are responsible for keeping access to your email account and your signed links secure, and for all activity under your account. tell us promptly at [email protected] if you suspect unauthorized access.

3. acceptable use

wupf is for operational notifications to an audience that opted in. you agree not to use wupf to:

  • send marketing, promotional, or solicitation messages;
  • message anyone who has not opted in through wupf, or who has opted out (including via STOP);
  • send unlawful, deceptive, harassing, or harmful content;
  • impersonate others, or send on a channel without the recipient's verified consent;
  • attempt to breach security, scrape, overload, or reverse-engineer the service.

because wupf is the registered sender for sms (see §6), content must stay within the registered operational-alerting use case. drifting toward marketing puts the whole platform's deliverability at risk, and we may stop sending that does so.

5. plans, billing & usage

wupf offers a free tier and paid plans. paid plans are billed through stripe on a monthly or annual cycle and renew automatically until cancelled. cancellation takes effect at the end of the current period; delivery continues until then. upgrades prorate immediately and downgrades apply at period end.

each plan includes metered allowances (free-channel deliveries and credits for sms, whatsapp and voice). when a meter reaches its cap we alert you and pause sending on that meter until you upgrade, buy credits, or the period resets — we never silently drop a broadcast. fees are exclusive of taxes, which you are responsible for where applicable. specific prices are shown in-app at sign-up.

we may change plan prices. if we increase the price of your plan, we will give you at least 30 days’ advance notice to the email on your account before the new price takes effect, so you have time to review, downgrade, or cancel. price decreases may take effect sooner. continuing to use a paid plan after a price change takes effect means you accept the new price.

6. sms & messaging compliance

Clover Lab Solutions is the registered sender for sms under a single platform a2p registration, so you do not register your own brand or campaign. in exchange, you must keep your sms content within the registered operational-alerting use case and maintain clean opt-in and opt-out discipline. you remain responsible for complying with all laws that apply to your messages and audience, including the tcpa and equivalent rules in your jurisdiction.

7. availability & reliability

we work hard to deliver reliably, but wupf depends on third-party carriers and providers (email, telegram, push, twilio, and others) we do not control. except where a written sla says otherwise, the service is provided on an “as available” basis and we do not guarantee that any individual message will be delivered. do not rely on wupf as the sole channel for life-safety alerts without independent backup.

8. data & privacy

wupf acts as a data processor handling your audience's data on your instructions; you are the controller. we minimize what we keep, encrypt message bodies at rest, and purge them on a short, configurable retention window. how we handle data is described in our privacy policy, which forms part of these terms.

9. intellectual property

wupf, its software, brand and design are owned by Clover Lab Solutions. you keep all rights to the content you send; you grant us the limited rights needed to process and deliver it on your behalf. we may use aggregated, de-identified usage data to operate and improve the service.

10. suspension & termination

you may stop using wupf and close your account at any time. we may suspend or terminate access — including an immediate kill-switch on sending — if you breach these terms, create deliverability or legal risk for the platform, or fail to pay. on termination, your right to use the service ends and we delete or return data per our retention practices and the privacy policy.

11. disclaimers & liability

to the fullest extent permitted by law, wupf is provided without warranties of any kind, and Clover Lab Solutions is not liable for indirect, incidental, or consequential damages, or for any loss arising from a message that was delayed, undelivered, or misdelivered by a third-party carrier. our total liability for any claim is limited to the amount you paid us for the service in the three months before the claim arose.

12. changes & contact

we may update these terms; material changes will be notified in-app or by email, and continued use after they take effect means you accept them. questions about these terms? email us at [email protected].
